Lever – ADP Subscription Addendum

This Lever – ADP Subscription Addendum (the “Addendum”) is made subject to the existing agreement between Lever, Inc. and the Customer (the “Agreement”) and governs the use of the Lever – ADP Workforce Now® Integration (the “Application”). In the event that there is no existing Customer Agreement, this Addendum is made subject to the Terms of Service located at www.lever.co/terms-of-service. By making a purchase through the ADP Marketplace for the Application, You agree to this Addendum and the applicable existing Customer Agreement. You represent that you are entering into this Agreement on behalf of the entity identified on your ADP Marketplace user account (“you” or “Customer”) and that you have authority to bind the Customer to this Agreement.

1. Support.
1.1 ADP shall be responsible for providing support to customers and end users related to such customers and end users’ use of the ADP Marketplace (but not including the Application), including (if applicable) Single Sign On, billing, and transaction processing systems. Lever shall be responsible for providing support to customers and end users related to the operation of the Application and interoperability with other products and services.

1.2 Lever shall provide, maintain, support and update the Application and its associated services. Lever shall provide product support for the Application. Customers may access support via the online form located at https://help.lever.co/hc/en-us/requests/new and via chat during normal support hours as defined in their Agreement with Lever.

2. LEVER  HEREBY DISCLAIMS ON BEHALF OF ADP AND APPDIRECT ANY EXPRESS, IMPLIED OR STATUTORY REPRESENTATIONS OR WARRANTIES, AND ALL OTHER WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, NONINFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE.

3. Customer’s and end users’ sole and exclusive remedies shall be against Lever. ADP and AppDirect shall have no liability or obligation to Customers or End Users.

4. Customers and End Users will not (i) decompile or reverse engineer the ADP Marketplace or take any other action to discover the source code or underlying ideas or algorithm of any components thereof, (ii) copy the ADP Marketplace, (iii) post, publish or create derivative works based on the ADP Marketplace, or (iv) remove any copyright notice, trade or service marks, brand names and the like from the ADP Marketplace or related documentation.

5. ADP and AppDirect are third party beneficiaries of the above described terms and each are entitled to enforce such terms as if they each were a party to this agreement.
